Funding Terms

If your application is approved, the specific terms of your funding arrangement will be provided in a separate agreement. Those specific terms will govern your funding relationship with Paramount Capital and/or our funding partners.

Governing Law and Jurisdiction

Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, including the breach, termination, or validity thereof, shall be finally resolved by arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted by one arbitrator, in New York, New York, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Waiver and Severability

No waiver by Paramount Capital of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Paramount Capital to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

Entire Agreement

These Terms, our Privacy Policy, and any funding agreements constitute the sole and entire agreement between you and Paramount Capital regarding our services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding our services.
